Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and RepairDoc ("RepairDoc," "we," "us," or "our") governing your access to and use of the RepairDoc websites, applications, and services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service; early access

RepairDoc is a documentation platform that helps field-service businesses capture, organize, and report on their work. The Service is offered on an early-access basis and is provided "as is" and "as available." Features, pricing, and availability may change, be limited, or be discontinued at any time, with or without notice. We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. RepairDoc provides documented evidence of the service performed based on the records you capture. RepairDoc does not inspect, certify, or guarantee the quality, safety, or completeness of any repair or work, and its reports are not a substitute for professional, legal, insurance, or evidentiary judgment.

2. Eligibility and accounts

You must be at least 18 years old, using the Service for business purposes, and authorized to bind the business on whose behalf you act. You are responsible for the accuracy of your information, for keeping your credentials secure, and for all activity under your account. We may refuse, suspend, or terminate accounts at our discretion.

3. Your content and the license you grant us

You retain ownership of the media, job records, and other content you create or import ("Your Content"). You grant RepairDoc a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, analyze, display, and transmit Your Content as needed to operate, provide, secure, support, and improve the Service and to generate your reports and, at your direction, share records with your customers. You represent that you have all rights necessary to grant this license and to capture and upload Your Content lawfully. RepairDoc will not use Your Content to train generalized artificial-intelligence or machine-learning models without your express consent. We may create and use de-identified and aggregated information that cannot reasonably identify you, your personnel, or your customers to analyze and improve the Service for any lawful business purpose.

4. Our intellectual property

RepairDoc and its licensors retain all right, title, and interest in and to the Service, including its software, models, algorithms, workflows, designs, user interfaces, documentation, trademarks, and all improvements to and derivatives of any of them. Except for the limited right to use the Service under these Terms, no rights are granted to you. You will not copy, modify, reverse-engineer, decompile, disassemble, scrape, or create derivative works of the Service; access it to build or benchmark a competing product; or remove any proprietary notices.

5. Acceptable use; recording and consent

You agree to use the Service lawfully. You are solely responsible for providing all notices and obtaining all consents required by applicable law before using the Service to photograph, record, monitor, or otherwise capture any individual, conversation, premises, or property — including any consent required from employees, customers, occupants, and bystanders. You will not use the Service to make any recording prohibited by applicable wiretapping, eavesdropping, surveillance, privacy, biometric, employment, or similar law. RepairDoc does not determine whether consent is required in any particular jurisdiction, and provides no legal advice on that question. You may not otherwise misuse the Service, including by attempting to disrupt it, access it without authorization, upload unlawful or infringing content, or use it to violate the rights of others. You are solely responsible for how you and your personnel use the Service and for the content you capture.

6. Feedback

If you provide ideas, suggestions, or feedback regarding the Service, RepairDoc may use them without restriction or obligation to you, and you grant RepairDoc a perpetual, irrevocable, royalty-free license to do so.

7. Confidentiality

Each party may receive non-public business or technical information of the other ("Confidential Information"), including your customer lists, addresses, pricing, invoices, job records, and captured media, and our non-public product and technical information. The receiving party will use Confidential Information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or is rightfully received from a third party, and does not prevent disclosure required by law with reasonable notice where permitted.

8. Third-party services

The Service may integrate with third-party tools (for example, CompanyCam for import and Stripe for payments). Those tools are governed by their own terms, and we are not responsible or liable for them. Your use of any third-party service is at your own risk.

9. Fees, billing, and cancellation

Paid plans are described on our pricing page and are billed in advance on a recurring basis through our payment processor. Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period. Fees already paid are non-refundable except where required by law. We may change prices and plan features; changes apply to the next billing period. You are responsible for applicable taxes. If a payment fails or a subscription lapses, we may downgrade, suspend, or limit access to your account.

10. Disclaimers of warranty

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or any report will be accurate, complete, reliable, secure, or fit for any legal, insurance, evidentiary, or other particular purpose. You are solely responsible for reviewing your reports and records before relying on or sharing them.

11. Limitation of liability

To the maximum extent permitted by law, RepairDoc and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations apply regardless of the theory of liability and are a fundamental basis of our agreement.

12. Indemnification

You will defend, indemnify, and hold harmless RepairDoc and its owners, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your capture or handling of any media or personal information, your failure to obtain any required recording or privacy consent, or your violation of these Terms or of any law or third-party right.

13. Suspension, termination, and data export

We may suspend, limit, or terminate your access to the Service at any time, with or without cause and with or without notice, including to protect the Service, comply with law, or address a violation of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. For thirty (30) days after termination, you may request an export of Your Content; after that period, RepairDoc may delete it, subject to routine backups and any retention required by law. We are not otherwise obligated to retain Your Content after your account closes.

14. Changes to these Terms

We may modify these Terms at any time. If we make material changes, we will update the effective date and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, seated in California, rather than in court, except that either party may bring an individual claim in small-claims court. You and RepairDoc each waive any right to a jury trial and to participate in a class, collective, or representative action. If this arbitration provision is found unenforceable, the exclusive venue for disputes will be the state and federal courts located in California.

16. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and RepairDoc regarding the Service and supersede any prior agreements.
